Terms of Service

1. Agreement to Terms

By accessing or using NextGen Grant OS or any other RavDev Technologies, LLC product or service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, do not access or use the Service.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Service. The Service is intended for business and professional use. Use by individuals under 18 is prohibited without explicit written consent from RavDev Technologies, LLC.

3. Accounts and Access

Account Registration: You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Account Security: You must immediately notify RavDev Technologies at support@ravdevtech.com of any unauthorized use of your account or any other security breach. Single Sign-On (SSO): Organizations may configure SSO through a supported identity provider. SSO credentials are subject to your organization's identity provider policies in addition to these Terms. Account Suspension: We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current, or if you violate these Terms.

4. License Grant

Subject to your compliance with these Terms and timely payment of applicable fees, RavDev Technologies grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during the applicable subscription term.

5. Restrictions

You may not:

  • Copy, modify, or distribute the Service or any component thereof;
  • Reverse engineer, decompile, or disassemble the Service;
  • Use the Service to develop a competing product or service;
  • Resell, sublicense, or otherwise transfer access to the Service to third parties without written authorization;
  • Use the Service to process data in violation of applicable law;
  • Circumvent or attempt to circumvent any access control, security measure, or usage limitation;
  • Use automated means (bots, scrapers, crawlers) to access the Service in a manner that exceeds normal usage;
  • Upload or transmit malicious code, viruses, or any other harmful software.

6. Customer Data

Your Data, Your Responsibility: You retain all rights in data you upload or provide to the Service ("Customer Data"). You grant RavDev Technologies a limited license to process Customer Data solely to provide and improve the Service. Data Accuracy: You are solely responsible for the accuracy, quality, and legality of Customer Data. You warrant that you have all rights and permissions necessary to upload and process Customer Data through the Service. Data Security: RavDev Technologies implements commercially reasonable technical and organizational measures to protect Customer Data. However, no system is completely secure. Data Portability: Upon request, we will provide Customer Data in a machine-readable format within 30 days. Upon account termination, Customer Data will be retained for 90 days and then deleted.

7. Intellectual Property

The Service, including all software, designs, documentation, and content provided by RavDev Technologies, is owned by RavDev Technologies and protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Any feedback, suggestions, or improvements you provide regarding the Service may be used by RavDev Technologies without obligation or restriction.

8. AI Features

The Service includes artificial intelligence and machine learning features ("AI Features") that assist with grant writing, discovery, analysis, and related tasks.

You are solely responsible for reviewing, validating, and approving any AI-generated content before use or submission. AI Limitations: AI Features are subject to the limitations of the underlying models and may not reflect the most current regulatory requirements or funding opportunity details.

9. Fees and Billing

Subscription Plans: The Service is offered on a subscription basis. Pricing for available plans is published at [nextgengrantos.com/pricing] and may be updated with notice. Payment: You authorize RavDev Technologies (through Stripe, our payment processor) to charge your payment method on file for all applicable fees. Subscriptions renew automatically at the end of each billing period unless cancelled. Taxes: All fees are exclusive of taxes. You are responsible for all applicable taxes, levies, duties, or similar governmental assessments. Non-Payment: If fees are not paid when due, we may suspend or terminate your access to the Service after reasonable notice. Disputed charges must be reported within 30 days of the charge date. Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods except where required by applicable law.

10. Suspension and Termination

By You: You may terminate your account at any time by contacting support@ravdevtech.com or through your account settings. By Us: We may suspend or terminate your account immediately, without notice, if: (a) you materially breach these Terms; (b) we are required to do so by law; (c) your use poses a security risk; or (d) you engage in fraudulent or illegal activity. Effect of Termination: Upon termination, your license to use the Service immediately terminates. We will retain Customer Data for 90 days after termination, after which it will be deleted.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. RAVDEV TECHNOLOGIES DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAVDEV TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL RAVDEV TECHNOLOGIES' TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO RAVDEV TECHNOLOGIES IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the limitation of liability for consequential damages, so the above limitation may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless RavDev Technologies, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the Service; (c) your Customer Data; or (d) your violation of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class or representative action.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the Service. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and RavDev Technologies regarding the Service. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision. Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
